Terms of Service

These Terms of Service (“Terms”) govern your use of the Kapda Stock platform operated by Codemites. By creating an account or using the service you agree to these Terms on behalf of the business you represent.

1. The service

Kapda Stock is a subscription-based business management platform providing point of sale, invoicing, inventory, customer ledgers, messaging, reporting and related tools. Features available to you depend on your subscription plan (Free, Growth, Professional or Enterprise) as described on our pricing page.

2. Your account & responsibilities

  • You must provide accurate business details, including a valid GSTIN where applicable.
  • You are responsible for safeguarding your credentials and for all activity under your account, including staff accounts you create.
  • You must use the service only for lawful business purposes and in compliance with applicable law, including GST and tax regulations.
  • Bulk messaging (WhatsApp/SMS/email) must comply with TRAI regulations and platform policies; recipients must have a business relationship with you.

3. Editions, subscriptions & billing

  • Kapda Stock is offered in two editions: the Cloud edition (a fully-managed subscription) and the On-Premise edition (a one-time licence installed on your own hardware, sold directly via sales).
  • Cloud plans may be paid monthly or yearly at your choice, in Indian Rupees through Razorpay. A GST invoice is issued for every payment.
  • A one-time setup fee is added to your first Cloud payment to provision and onboard your isolated workspace — ₹999 on Growth and ₹1,299 on Professional. The Free plan has no setup fee. It is charged once and is non-recurring.
  • If a renewal payment fails, you receive a 7-day grace period with full access, after which access is suspended until payment is made. Your data remains safe during suspension.
  • Plan limits (users, products, invoices) are enforced by the platform; exceeding a limit prompts an upgrade rather than an overage charge.
  • You may cancel at any time; access continues until the end of the paid period.

4. Third-party services & your own credentials

Some capabilities rely on third-party providers that bill for usage — in particular WhatsApp Business, AI voice calling, and payment gateways (e.g. Razorpay / Cashfree). For these, you must provide and use your own provider credentials, which you enter in the app after signup. You contract with and pay those providers directly on a pay-as-you-go basis for your usage; such usage is not included in your Kapda Stock plan, and Kapda Stock is not responsible for their charges, availability, approval timelines or terms. Every feature built into Kapda Stock itself is included in your plan.

5. Your data

Data you enter belongs to you. We host it in an isolated schema, back it up, and process it only to provide the service, as detailed in our Privacy Policy. On cancellation you have 30 days to export your data, after which it is permanently deleted.

6. Acceptable use

  • No attempts to access other businesses’ data, probe, scan or disrupt the platform.
  • No reselling, sublicensing or white-labelling the service without a written agreement.
  • No uploading of malicious files or unlawful content; uploads are scanned and violations may result in suspension.

7. Compliance tools disclaimer

Kapda Stock prepares GST returns, e-invoices and e-way bills from the data you enter. While we work hard to keep calculations and formats current with government specifications, you remain responsible for the accuracy of your filings. We recommend review by your chartered accountant.

8. Availability & support

We target high availability but do not guarantee uninterrupted service. Planned maintenance is announced in advance. Support channels depend on your plan: email (Starter), WhatsApp + email (Professional), dedicated manager (Enterprise). WhatsApp, AI calling and payment gateways run on your own provider accounts (pay as you go).

9. Limitation of liability

To the maximum extent permitted by law, Codemites’ total liability arising out of the service is limited to the subscription fees paid by you in the three months preceding the claim. We are not liable for indirect or consequential losses, including lost profits or data loss caused by factors outside our reasonable control.

10. Termination

We may suspend or terminate accounts that materially breach these Terms, with notice where practicable. You may terminate at any time from your settings page. Sections that by nature survive termination (data export rights, liability limits, governing law) continue to apply.

11. Governing law

These Terms are governed by the laws of India. Courts at Srinagar, Jammu & Kashmir shall have exclusive jurisdiction over disputes, subject to any mandatory consumer protections.
